Effective date: September 1, 2026

These Terms of Use ("Terms") are an agreement between you and SmartBuyers AI, Inc., a Delaware corporation, d/b/a endREF ("endREF," "we," "us") governing your use of endref.com, the Agent Toolkit, and endREF content and resources (together, the "Services"). By using the Services, you agree to these Terms and to our Privacy Policy and Disclaimers, which are incorporated into these Terms. If you do not agree, do not use the Services.

1. Eligibility

The Services are intended for adults, primarily real estate professionals and industry participants. You must be at least 18 years old to use the Services.

2. Our content and intellectual property

All content on the Services, including text, training materials, the Agent Toolkit, scripts, checklists, graphics, video, and course content, is owned by endREF or its licensors and is protected by copyright and other intellectual property laws. The endREF name, logo, and designation are trademarks of endREF. Nothing in these Terms grants you any right to use them except as expressly permitted.

3. Your license to use the content

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services and their content for your own professional education and for discussing fraud prevention with your own clients and prospects. You may not, without our prior written permission:

• Reproduce, republish, distribute, or publicly post endREF materials, in whole or in part.

• Use endREF materials to create, teach, or deliver your own course, presentation, or training program.

• Sell, license, or otherwise commercialize endREF materials.

• Remove or alter any copyright, trademark, or attribution notices.

Licensed instructor and sponsor distribution rights are granted only under separate written agreements.

4. Agent Toolkit access

Access to the Agent Toolkit is provided under the conditions stated at registration. You agree to provide accurate registration information. Access credentials are personal to you and may not be shared. We may modify, suspend, or discontinue the Toolkit or any part of the Services at any time.

5. Certification and designation

Use of the endREF designation, badge, and related credentials will be governed by a separate Certification Agreement presented at enrollment. You may not state or imply that you hold an endREF designation or have completed endREF training unless it is true, and you may not use the endREF name or marks in your own marketing except as that agreement permits.

6. Paid subscriptions

Certain Services, including the endREF designation, will require a paid subscription. Subscription pricing, billing frequency, renewal, cancellation, and refund terms will be disclosed at the point of purchase and governed by Subscription Terms presented before you pay. Payments will be processed by Stripe.

7. Acceptable use

You agree not to: use the Services for any unlawful purpose; misrepresent your identity, licensure, or training status; interfere with the operation or security of the Services; scrape, harvest, or copy content or data by automated means; or attempt to gain unauthorized access to any portion of the Services.

8. Educational content; no legal advice

The Services provide fraud prevention education. They do not provide legal advice, and no attorney-client relationship is created by your use of the Services. The Disclaimers page describes the limits of the Services in more detail and is part of these Terms.

9. Disclaimer of warranties

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICES WILL PREVENT, DETECT, OR REMEDY ANY FRAUD. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ENDREF AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF FUNDS, PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING ANY FRAUD LOSS OCCURRING IN ANY TRANSACTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify and hold harmless endREF and its officers, directors, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, your violation of these Terms, or your violation of any law or the rights of any third party.

12. Third-party sites and services

The Services link to third-party websites and services. We are not responsible for them, and your use of them is governed by their own terms and policies.

13. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or misuse of the Services. Sections 2, 3, and 8 through 16 survive termination.

14. Governing law and venue

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of laws principles. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in New Jersey, and you consent to their jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted here with a new effective date, and your continued use of the Services after that date constitutes acceptance. For material changes, we will provide notice on the site or by email.

16. General

These Terms, together with the Privacy Policy, the Disclaimers, and any Subscription or Certification agreements you enter, are the entire agreement between you and endREF regarding the Services. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a corporate transaction.
